Who We Are

Eclipz is a talent management agency representing creators and connecting them with brand partnerships. Our services include creator management, UGC production, Eclipz Studios production services, influencer marketing, affiliate marketing and brand ambassador programs.

Eligibility

You must be at least 18 years old to independently apply, contract or transact with Eclipz. If you are a creator under 18, your parent or legal guardian must apply, sign agreements and receive payments on your behalf.

Creator Applications and Representation

Submitting a creator application does not guarantee representation, brand placement, campaign opportunities or any specific outcome. Acceptance into the Eclipz roster is entirely at our discretion, based on content quality, audience fit, niche relevance, professionalism and other factors we evaluate.

Once formally represented, the specific terms of that representation, including commission structure, exclusivity, duration and termination conditions, will be set out in a separate signed agreement executed via Adobe Sign between the creator (or their guardian) and Creative Cuddle. These Terms apply in addition to, and do not override, that individual agreement.

Brand Services

Brands engaging Eclipz for campaign management, influencer marketing, UGC production, affiliate marketing or brand ambassador programs will receive a separate scope of work and signed agreement outlining deliverables, timelines, creator selection, pricing and payment terms before any campaign begins. These Terms govern general use of the website; specific campaign terms are governed by that individual signed agreement.

Payments

All payments for Eclipz services, including creator payouts and brand invoicing, are processed by Creative Cuddle via direct bank transfer. Payment amounts, due dates and schedules will be specified in the individual service agreement or invoice issued for each engagement. Late payments may incur terms specified in that agreement, including potential late fees or pause of services.

Affiliate Marketing Terms

Where Eclipz facilitates affiliate marketing arrangements, tracking of clicks, conversions and commissions is conducted through EverFlow. Commission rates, payout thresholds and reporting timelines will be specified in the individual affiliate agreement. Eclipz and Creative Cuddle are not liable for tracking discrepancies caused by ad blockers, browser settings, or third-party platform changes outside our control.

Content and Usage Rights

Any content created as part of a UGC, influencer marketing, Eclipz Studios or campaign management engagement is subject to the usage rights specifically agreed upon in writing between the brand, the creator and Eclipz in the relevant campaign agreement. Usage rights, including duration, platforms, paid amplification and exclusivity, are not assumed and must be explicitly agreed before content is used beyond its originally agreed scope.

Creators retain ownership of their content except where usage or licensing rights have been explicitly transferred or granted under a signed agreement.

Intellectual Property

The Eclipz name, logo, website content and brand assets are the property of Creative Cuddle and may not be used, reproduced, modified or distributed without prior written permission.

Conduct and Professionalism

Creators and brands engaging with Eclipz agree to act in good faith, communicate honestly regarding deliverables, deadlines and capabilities, and refrain from any conduct that could harm the reputation of Eclipz, Creative Cuddle, or other parties involved in a campaign. We reserve the right to decline or terminate representation or engagement where this standard is not met.

Limitation of Liability

Eclipz and Creative Cuddle make reasonable efforts to deliver services as described but do not guarantee specific business outcomes, follower growth, engagement rates, campaign performance or revenue, as these depend on factors outside our direct control, including platform algorithm changes, third-party tool performance and market conditions.

To the extent permitted under Indian law, Eclipz and Creative Cuddle are not liable for indirect, incidental, special or consequential damages arising from use of our services or website, including but not limited to loss of revenue, data or business opportunity.

Indemnification

You agree to indemnify and hold Eclipz and Creative Cuddle harmless from any claims, damages or expenses arising from your breach of these Terms, your content, or your violation of any law or third-party right.

Termination

We reserve the right to discontinue representation of a creator or terminate a brand engagement in accordance with the notice periods and conditions set out in the relevant signed agreement. Either party may terminate in accordance with those same terms.

Dispute Resolution

In the event of a dispute, both parties agree to first attempt good-faith resolution directly. If unresolved, disputes will be subject to the jurisdiction of the courts in India, and governed by the laws of India.

Force Majeure

Eclipz and Creative Cuddle are not liable for delays or failures in service caused by circumstances beyond reasonable control, including but not limited to platform outages, internet or hosting disruptions, natural disasters, or changes in law.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, tools used, or legal requirements. The "last updated" date reflects the most recent revision. Continued use of the website or services after changes constitutes acceptance of the updated Terms.
